Congress Presentation


On 7 and 8 February 2019, the University of Málaga will hold the III National Congress on Company law. The Congress is organised by the Commercial Law Department, Faculty of Law, of the Univeristy of Malaga, in collaboration with various institutions, and the Congress directors are Dr María Belén González Fernández, Professor of Commercial Law at the University of Málaga (Profesora Titular de Derecho Mercantil de la Universidad de Málaga) and Amanda Cohen Benchetrit, commercial law Judge (Magistrada especialista por el Consejo General del Poder Judicial en asuntos propios de lo Mercantil y Asesora del Ministerio de Justicia).

With the same enthusiasm as in the previous editions, and bearing in mind the same objectives, the speakers at the Congress of various legal backgrounds (judges, academics, registrars, notaries and solicitors) will analyse together the most current issues of the Spanish company law. The Congress is a unique opportunity to establish networks and exchange opinions and visions on approaching those issues, enabling interactions between speakers and Congress participants, professionals that tackle the same problems in their everyday work, however from different perspectives.

The Congress is an initiative established two years ago, with a purpose of providing an ongoing platform for reflection on the current issues of company law. The focus of this year’s meeting are the shareholders’ rights. The distinguished speakers guarantee a high level of presentations scheduled, with topics such as new technologies and blockchain technology applied to exercising the shareholders’ rights (opening address), or the judicial treatment of those rights (closing address). During the sessions of the Congress, the issues such as the right to vote, the right to exit, the right to dividends and the position of shareholders in the cases of company restructuring will be discussed.

In this year’s edition of the Congress, we decided to introduce a new type of session, with the purpose of stimulating constructive and dynamic discussion. Two round tables, one focused on the right to dividends and the other on the issues arising in litigation concerning shareholders’ rights, will allow both the speakers and the Congress participants to engage in a discussion on selected problems, controversial in legal practice and theory. 

The past two editions of the Congress proved to be very successful with almost 500 professionals attending each year. We hope that this year’s edition will again be of great interest to all attendees.
